

Purchasing Terms And Conditions

Clauses:
1. Supplier notification is required in cases of nonconforming product, supplier shall not ship nonconforming product without written Lux approval. All nonconformances shall be documented, include root cause, and be dispositioned (Use‑As‑Is, Repair, Rework, Scrap) per Lux approval.
2. Supplier notification is required for changes in product and/or process supplier shall not implement any changes to product design, materials, manufacturing processes, special processes, inspection methods, software, or sub‑tier suppliers without prior written approval from Lux. Changes may require re‑qualification and first article inspection (FAI).
3. The supplier will flow down to subtier suppliers, supplier shall ensure all applicable Lux, customer, regulatory, and AS9100 requirements are flowed down to sub‑tier suppliers. Supplier is responsible for verification, monitoring, and retention of objective evidence demonstrating sub‑tier compliance.
4. Certification(s) of Compliance to all applicable specifications if requested by Lux.
- Raw Material - require material certs with heat lot, chemical and physical properties
- Outside Processing - require certifications such as C of C, C of A, Test Reports, etc.
with reference to specification and revision, part # and WO reference
- Calibration Suppliers - Calibration Certificates must identify standards used and must
be traceable to NIST (National Institute of Standards Technology). ISO 17025
Certified preferred.
5. Right of Entry shall be granted to Lux, its customers, and regulatory authorities, to all
facilities involved with the order and to all applicable records, for the purpose of
monitoring product quality.
6. Records resulting from the processing of this order shall be retained records shall be retained for a minimum of seven (7) years after completion of Lux’s customer’s contract, or in accordance with contract, customer, regulatory, or Lux requirements, whichever is longer.
Records shall not be disposed of without authorization and shall be retained in a manner that ensures protection, integrity, and retrievability for the duration of the retention period.
Upon authorized disposal after the applicable retention period, records shall be destroyed or deleted in a manner appropriate to the classification and sensitivity of the information, and in accordance with contractual, regulatory, Lux, and applicable cybersecurity requirements, for both electronic and physical records.
7. Supplier responsible for Lost or Damaged Product
8. Supplier performance; Lux will evaluate and record the supplier(s) ability to meet
contractual requirements, including product characteristics, specifications, on time delivery, completion of documentation, and responsiveness to corrective actions. Lux
reserves the right, at our discretion, to approve and/or disapprove a supplier for lack of
performance.
9. Supplier Quality System; a Quality System which assures compliance with supplied
documentation, including the purchase order, drawings and specifications. A system
that complies with ISO 9001, AS9100, and/or Nadcap preferred. Lux will validate the
supplier Quality System status by confirming the sustained certification approval, quality
surveys, and/or on-site surveillance audits.
10. Prevent the use of counterfeit parts (see 8.1.4 of the AS9100D / ISO 9001:2015
Standard)
11. Ensure that persons / employees are aware of:
- their contribution to product or service conformity
- their contribution to product safety, and
- the importance of ethical behavior
- supplier personnel shall be empowered and encouraged to report quality or product safety concerns without fear of reprisal, including suspected human‑factor risks.
12. Suppliers will maintain an approved calibration system (where applicable) which
ensures valid measurements within the appropriate accuracy and is traceable to the
NIST.
13. For Calibration Suppliers; ISO 17025 Certified preferred. Calibration suppliers shall maintain calibration records and certificates in accordance with contract, customer, regulatory, or Lux requirements. Calibration certificates shall identify traceability to national or international standards and shall include as‑found and as‑left data when instruments are found out of tolerance or adjusted.
14. Conflict Minerals - Supplier must provide material that is "DRC conflict free" as defined
by applicable SEC rules. Any required conflict mineral content must be from recycled or
scrap sources or originate from outside of the DRC Covered Countries. Material that
contains conflict minerals that originated in a DRC Covered Country will be deemed non-
conforming and unacceptable.
15. ITARS Compliance:
If applicable (stated on PO), any technical data, i.e. specifications, drawings, models, etc.
provided by Lux is considered export controlled by the U.S. Department of State, under
the International Traffic in Arms Regulations (ITARs). Disclosure (including oral or visual
disclosure) or transfer of this information to foreign persons is prohibited without U.S.
Government authorization. Supplier shall ensure personnel are trained in export control requirements, shall flow export control obligations to sub‑tier suppliers, and shall immediately notify Lux of any suspected violation or unauthorized disclosure.
16. Configuration Management supplier shall maintain configuration control to ensure product conforms to the current approved revision of drawings, specifications, and purchase order requirements.
17. Defense Priorities and Allocations System (DPAS) Rated Orders If this Purchase Order is a DPAS rated order, the specific priority rating (DO or DX) and program identification symbol will be stated on the face of the Purchase Order. In such cases, the following certification statement applies:

“This is a rated order certified for national defense use, and you are required to follow all the provisions of the Defense Priorities and Allocations System regulation (15 CFR Part 700).”
